Brandon Beshay

Partner

Brandon advises public and private companies, family offices, investors, and entrepreneurs in a wide variety of transactional matters and commercial issues involving the acquisition, disposition, development, and financing of corporate and securities transactions and real estate projects, with a particular focus on mergers and acquisitions, divestitures, and joint venture investments in multifamily and commercial developments. His work spans a variety of industries, including restaurants, security, janitorial, technology, life sciences, manufacturing, and consumer goods.

He also provides ongoing counsel and outside general counsel work to both small and large business, ranging from startups to well established companies, in outside general corporate matters, such as financings, corporate governance, equity grants, and matters relating to the formation and structure of business entities. Such work extends from drafting complex LLC agreement, drafting equity offering documents, to negotiating multifaceted joint venture agreements for the development of hotels, multifamily units, or shopping centers all around the world.

Prior to co-founding Beshay, Smith & Saad, LLP, he was an associate at Sheppard, Mullin, Richter & Hampton, LLP in Del Mar, California, and Finch, Thornton & Baird in San Diego, California, where he focused on advising clients on mergers and acquisitions, investment structuring, and real estate joint ventures, as well as providing outside general counsel services to resolve day-to-day corporate issues.

Patrick Smith

Partner

Patrick represents borrowers, lenders, institutional and non-institutional investors, private equity funds, developers and operators in a broad array of commercial real estate transactions including acquisitions, dispositions, financings, development matters, and joint ventures. He has experience working with a diverse set of asset classes, including multifamily complexes, office and retail buildings, industrial projects, data centers, hotels, and vacant land.

He also represents institutional lenders in connection with mortgage and mezzanine financings, loan sales and acquisitions, and intercreditor agreements, and has extensive experience with loan workouts and remedies, including foreclosures, deeds-in-lieu of foreclosure, and loan restructuring.

Prior to co-founding Beshay, Smith & Saad, LLP, Patrick was a senior associate in the real estate group at Gibson, Dunn & Crutcher LLP, and was a real estate finance associate at Jones Day in each of their Orange County, California offices.

Charlie Saad

Partner

Charlie has extensive experience on a wide range of investment-related and commercial matters, drawing on his experience at two premier law firms and as in-house counsel at a global investment fund. His practice includes advising on legal considerations related to a broad range of private and public investments and in bankruptcy and restructuring matters. In addition, Charlie provides outside general counsel services to businesses of all sizes, assisting with day-to-day legal needs and corporate governance, including drafting organizational documents and reviewing and negotiating vendor agreements, non-disclosure agreements, and other ancillary contracts.

Prior to co-founding Beshay, Smith & Saad, LLP, Charlie was in-house Counsel at a major global investment fund with over $15 billion in assets under management. Before that, he was an associate in the restructuring groups at Kirkland & Ellis LLP and Sidley Austin LLP in New York.
